1. Acceptance of Terms

By accessing or using the website TheWinePalate.com (the "Site") and subscribing to our services, you agree to comply with and be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Site or subscribe to our services.

 

2. Membership Services

By subscribing to our publication, you will receive access to exclusive wine content, articles, reviews, and other related services as outlined on our Site. Subscriptions are offered on an annual basis, with payment processed at the time of purchase.

Personal Membership

The Personal Membership is for individuals not in the wine trade and grants access to TheWinePalate.com via a personal computer and/or a mobile device. Your Personal Membership is for your use only and may not be shared, resold, or subdivided among other parties.

Commercial Membership

The Commercial Membership is for wineries, restaurants, and members of the wine trade engaged in retail, wholesale, distribution, importing, and/or marketing of wine. A Commercial Membership allows you and your employees to access the site content via a personal computer and/or a mobile device. Outside of the single business associated with the Commercial Membership, you may not share, resell, or subdivide the Commercial Membership among other parties.

Wine retailers, importers, and organizations with a Commercial Membership are permitted limited use of the Site Content on websites and promotional materials solely in connection with the direct sale or distribution of wine. Sharing content directly with clients or third parties is prohibited.

The Commercial Membership allows the use of up to five hundred (500) individual tasting notes and scores, with no more than 50 reviews from any single article. Any retention of a review or score, whether through a public website or internal databases, is considered a use of that content.

 

3. Payment Terms

All membership fees must be paid in full at the time of subscription. Prices are subject to change; however, existing members will be notified of any changes prior to their renewal date. Payments will be processed through a secure payment gateway.

 

4. Automatic Renewal

Your membership will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You can manage your membership and cancel it through your account settings on the Site.

 

5. Cancellation Policy

You may cancel your membership at any time. However, cancellations will take effect at the end of your current billing cycle. No refunds will be issued for partial payments or unused portions of the subscription.

 

6. User Conduct

You agree to use the Site in accordance with all applicable laws and regulations. You are prohibited from:

- Engaging in any conduct that restricts or inhibits others from using the Site.

- Using automated systems or software to extract data or content from the Site without express written permission.

 

7. Intellectual Property

All content on the Site, including articles, images, logos, and trademarks, is the copyrighted property of The Wine Palate. Beyond what your Commercial Membership may allow, you may not reproduce, distribute, or create derivative works of any content without prior written consent.

 

8. Limitation of Liability

The Wine Palate is not liable for any direct, indirect, incidental, or consequential damages arising out of or in connection with your use of the Site or subscription services. This includes, but is not limited to, damages for loss of profits, goodwill, or other intangible losses.

 

9. Indemnification

You agree to indemnify and hold harmless The Wine Palate, its affiliates, and their respective directors, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses, including reasonable attorney fees, arising from your violation of these Terms or your use of the Site.

 

10. Changes to Terms

The Wine Palate reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Site. Your continued use of the Site after the posting of changes constitutes your acceptance of those changes.

 

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of California, USA, without regard to its conflict of law principles. Any disputes arising from these Terms will be resolved in the courts located in Napa, CA.
